Executive Summary

RELYzIT Talent, headquartered in Brussels and Dubai, is a premier provider of AI-powered freelance and permanent recruitment solutions across BELUX, UAE, and KSA markets. These Terms of Service reflect the highest standard of multinational contracting, consistent with the compliance expectations and governance standards of Fortune 500 enterprises.

1. Contracting Entities

Depending on the jurisdiction of the Client, the contracting entity is:

KSA: As specified in the applicable Order Form; generally serviced by RELYzIT Information Technology LLC.

2. Compliance Commitment

RELYzIT operates in full compliance with:

European Union & Belgium: GDPR (Regulation (EU) 2016/679), Belgian B2B Contracts Act (2019), Belgian recruitment laws prohibiting candidate fees, and the EU AI Act.
United Arab Emirates: UAE PDPL (Federal Decree-Law 45/2021), Cabinet Decision 6/2022, and MOHRE recruitment regulations.
Kingdom of Saudi Arabia: KSA PDPL (Royal Decree M/19 of 2021), SDAIA rules, and Ministry of Human Resources licensing regulations.

3. Scope of Services

We deliver recruitment and talent solutions in AI/Data, Infrastructure & Security, and Web/Development. Specific deliverables, fees, and timelines are set out in a signed Master Services Agreement (MSA), Statement of Work (SOW), or Order Form. In case of conflict: MSA > Order Form > these Terms.

4. Client Obligations

Introduction Ownership: Any Candidate introduced by RELYzIT remains associated for 12 months; hiring within this period triggers Success Fees.
Non-Circumvention: No engagement of introduced Candidates outside RELYzIT within the Introduction Period.
Regulatory Compliance: Clients must verify work rights, visas, and relevant permits.

5. Candidate Commitments

No fees are charged to Candidates.
All information provided must be accurate, lawful, and up-to-date.
Consent for data processing is obtained per GDPR, UAE PDPL, and KSA PDPL.

6. Data Protection — GDPR Compliance

Role: Independent controller unless otherwise agreed; processor role governed by a DPA.
Lawful Basis: Processing based on consent, contract performance, legitimate interest, or legal obligation (Articles 6 and 9 GDPR).
Transparency: Privacy notices in compliance with Articles 13–14 GDPR.
Rights Facilitation: Full support for rights under Articles 15–22 GDPR.
Security Measures: Compliance with Article 32 GDPR.
Cross-Border Transfers: SCCs for EEA, PDPL-compliant mechanisms for UAE/KSA.

7. Artificial Intelligence — EU AI Act Compliance

Risk Classification: All AI systems assessed per EU AI Act categories.
High-Risk AI: Conformity assessments, risk management systems, human oversight, and technical documentation implemented.
Transparency: Disclosure when interacting with AI tools (Article 52).
Data Governance: Bias mitigation, accuracy assurance, and dataset quality control.

8. Fees & Payment

Success Fees calculated on total annual remuneration or contract value.
Payment due within 14 days unless otherwise agreed.
Taxes excluded; Client responsible for compliance.

9. Dispute Resolution

Belgium/EEA: Belgian law; CEPANI arbitration in Brussels (English).
UAE/GCC (excluding KSA): UAE law; DIAC arbitration in Dubai (English, DIAC Rules 2022).
KSA: Saudi law; SCCA arbitration in Riyadh (English, SCCA Rules 2023).

10. Liability & Indemnity

Aggregate liability capped at fees paid in the prior 12 months, except for non-excludable liabilities.
Mutual indemnities for breaches of law, IP infringement, and third-party claims.

11. Governing Language

These Terms are drafted in English. Translations are for reference only.

12. Regional Supplements

Belgium/EU: GDPR and EU AI Act compliance, Article 28 processor clauses, adherence to B2B fairness laws.
UAE: PDPL compliance, DIAC clause enforceable under Federal Arbitration Law.
KSA: PDPL compliance, data localization, SDAIA permits, Sharia-compliant arbitration.
